The whole transaction completed successfully. Our clients shareholdings in the company were transferred to the buyer, and the commercial premises was transferred out of our clients’ registered title to the buyer, and our clients retained ownership of part of the registered land.
We acted for clients in the sale of their shareholdings in a company through which they ran a long-established business dealing with car spare parts. They wanted to move on to other endeavours. The business operated from commercial premises, which was also to be sold on completion.
The transaction involved many different legal aspects and so we put in place a team of specialist solicitors with support staff to ensure that everything was dealt with comprehensively and efficiently.
The commercial premises formed part of a larger piece of land, which was unregistered. We checked and collated the title deeds and documents to evidence our clients’ title to the land and prepared an ‘Epitome of Title’. We also checked that all stamping (Stamp Duty) requirements had been complied with. We then submitted an application to the Land Registry for registration of the land to our clients, which was successfully completed.
We negotiated a share purchase agreement (including warranties, a tax covenant, and post-completion restrictive covenants), and other transactional documents, including a disclosure letter; employment settlement agreements for our clients’ directorships in the company; a post-completion service agreement for one of our clients (who stayed on as a director of the company); and a contract for sale and transfer relating to the commercial property.
